Thank you for visiting Wowledge, a website and online service owned and operated by Wowledge, LLC (“Wowledge,” “we,” “us,” or “our”). These Terms of Service ("Terms") govern your access to and use of Wowledge's website (the “Site,” “System,” or “Platform”), and other online products, tools, and services (collectively, the “Service”). Please read these Terms carefully. By accessing, using, or subscribing to our Service, you agree to be bound by these Terms and by our Privacy Policy.


1. Using Wowledge


Wowledge is a collaborative knowledge platform where Experts and Members (referred to as “Members” or “Users”) access, contribute to, and adapt information and tools on a wide range of HR and people-related subjects. We want to ensure that our Members have access to relevant Content and feel part of a constructive community that contributes valuable information by requiring everyone to follow the rules and terms outlined in this Terms of Service and our Privacy Policy.


Accepting these terms

If you access, use, or subscribe to the Service, it means you agree to be bound by all of the Terms in this document. Before using the Service, please read all the Terms carefully. If you don’t agree to all of the Terms, please do not use or subscribe to the Service.


Changes to these terms

We reserve the right to change these Terms of Service from time to time. For example, we may need to update these Terms if we introduce a new feature. If we make changes, we will notify you by revising the date at the top of this document and, in some cases, provide you with additional notice via email. We encourage you to review the Terms of Service periodically to stay informed about our practices. If you continue to use the Service after the revised Terms have been posted, you will be deemed to have accepted the changes to these Terms. Whenever we make changes to these Terms, they take effect upon the revised Terms being posted.


Privacy policy

For information on how we collect and use information about Users of the Service, please refer to our Privacy Policy.


Creating accounts

In order to use or access the Service, you must register and create an account (“Member Account”). A Member Account provides access to the Service, including Content, features, and benefits that may vary based on your Membership type. We offer various types of Memberships with different content access, features, and benefits. Member Accounts are individual and personalized to your unique Content selections, contributions, and User status. You are responsible for your use and access to the Service and compliance with the Terms of Service and Privacy Policy.

Certain Memberships may offer group or team functionality, including the ability to allocate seats for collaborators or clients. These authorized users must be added through designated group seat assignments and are subject to these Terms of Service.

When you open a Member Account, it should be on behalf of yourself. You must provide accurate and complete information and keep it up to date. You also agree to maintain the confidentiality of your password and accept all associated risks of unauthorized access. If you become aware of or suspect any security breach, please contact us as soon as possible.


Subscription and payment

When you purchase a subscription to use or access the Service, it will be available shortly after payment has been received and processed.

We use a third-party service provider to manage credit card processing, and your credit card information is processed directly by this service provider. This third-party processing service is not permitted to store, retain, or use your billing information except as necessary to process your credit card information for current or future purchases through our Site. Your full credit card number is never transmitted to or viewed by anyone at Wowledge (however, we are given and may print a portion of your credit card information on your receipt to let you know what credit card you used to make a purchase). The company name on your receipt will appear as "Wowledge, LLC." You will receive an email receipt following each credit card charge.

If you fail to pay your subscription fee when due, we may immediately suspend or terminate the Service, in whole or in part.

If we provide or offer a Service without charge, Wowledge has the right at any time to begin charging a fee for the Service, provided we notify you of such fee beforehand. If a fee applies, your use and access to the Service is subject to your full and timely payment of such fee, including renewing at the conclusion of each billing cycle.


Refund policy

Please note that, due to the digital nature of our Service, all sales on our website are final. We do not offer refunds after a subscription purchase has been made. This policy is in place because digital content and services are irretrievable once they have been selected, accessed, viewed, used, or otherwise consumed.

To ensure you have a sense of the quality and value of the Content in our Platform before committing to a paid subscription, we encourage you to sign up as an Access Member. This free membership allows you to review all materials associated with at least one of our Program Packages (HR Strategy), helping you make an informed purchase decision.


Renewal and cancellation

Member Accounts are set to automatically renew at the end of the subscription or billing cycle unless you change this in your Account Settings, under “Subscriptions.” When you choose not to renew or downgrade your plan, you will continue to have access to your selected Content and features until the end of the billing cycle. After that, your access to selected Content, private workspaces, and other membership-specific benefits will end.

For memberships that include private workspaces, access to uploaded or customized Content in those spaces will be suspended after expiration. While your workspace content may remain stored for a limited period, Wowledge does not guarantee continued availability or long-term retention unless your membership is renewed. It is your responsibility to export or back up any content before your access ends.

If you decide to cancel your Member Account before the end of your billing cycle, we will not provide any refund.

We reserve the right to refuse Service to any person or cancel any order at our sole discretion. We also reserve the right to change, without prior notice, Service features, benefits, and pricing.


Program package selection

A Program or Topic Package contains diverse Content pieces, called Article Documents, which might include Progression Overviews, Practice Guides, Tool Summaries, Explainers, Deep Dives, or General Insights related to a particular topic. Member Accounts typically allow you to select and have access to the Content associated with a specific number of Program Packages based on your Membership type. Your access to the Content on a selected Program Package continues for the duration of your subscription, independent of the time remaining in the billing cycle. When you renew your subscription at the end of each billing cycle, you will be able to make new Program Package selections based on your Membership type. “Unselected” Program Packages do not roll over to the next subscription cycle.

If you make all your Program Package selections in a subscription cycle and need to access additional Program Packages, you might upgrade your Membership plan to the next level, if available, for access to a new or unlimited number of Program Packages. The number of Program Packages available under each Membership type is indicated on the Subscription Plans page. If you have unselected Program Packages or other unused features or benefits at the end of your billing cycle or when upgrading your Membership plan, we will not issue any refund, credit, or discount.


Collaboration membership and special offers

If you have been invited to use the Service as a Collaboration Member or have received a special offer, such terms or benefits are valid for one year from the date of activation. Upon expiration of this period, you should elect to transition your subscription to a regular paid Membership Plan at the price available at the time. If you choose not to transition to a regular paid Membership Plan, your account will automatically default to Access Member, which will limit your ability to view full documents from selected Content and other features or benefits.


Communications from the service

You may use the “Account Settings” in the Service to manage your Account profile. By providing your email address, you hereby consent to our using the email address to send you Service-related notices, including any notices required by law, renewals, or other end-of-cycle notices. You may use the “Notifications” section to opt out of many Service-related communications, including updates on features, new content, offers, bookmarks, and documents.


Use of wows

Wows are a type of virtual currency at Wowledge used to pledge your preferences on Article Documents. They are also used when creating new or pledging on entries in the “Related products, services and providers” section when available in Article Documents. Lifetime Wows accumulate and are showcased in the Status Panel of each User by clicking your Username when signed into the Service. Lifetime Wows help you earn progressive User status that unlocks functionality to directly accept or reject edits from other Members via the History page of each Article Document. Currently, this type of editing functionality is assigned to Users achieving the “Expert” and “Principal” levels.

Wows are earned while pledging and contributing to Article Documents. In some cases, they may be awarded only the first time a pledge, contribution, or edit is made in a section of the same document.

If you pledged Wows on an existing entry or created a new entry on the “Related products, services and providers” section that gets removed at some point for any reason, including violation of our Terms of Service, Wowledge is under no obligation to reinstate the Wows used. In the same way, if your Member Account is voluntarily closed or suspended by us as the result of a violation of our Terms or Policies or any other reason, Wowledge is under no obligation to make any compensation or other arrangements in lieu of any Wows remaining on your account. Outside the Service, Wows have no use or value.


Contributing content

To identify the Top Creators of an Article Document, the system tracks the number of Wows each User receives during the creation, contribution to, or editing of that Article Document. Each Article Document displays as “Top creators” up to four Members who first achieved the most Wows while contributing to the document.

By submitting, creating, or editing content in any public-facing area of the Service, you acknowledge that these contributions may be viewed and reused by other Members, and that your edits may be attributed either to your chosen display name or an anonymous ID.

Content created and submitted in private workspaces (available through certain membership types) is accessible only to authorized users of that workspace and is not included elsewhere on the Platform unless the Member explicitly shares it as a separate action. Wowledge does not claim ownership of your private workspace Content.

By contributing content to the Service, you release Wowledge from any claims, damages, or demands of any kind—known or unknown, suspected or unsuspected, disclosed or undisclosed—arising out of or related to your contributions and use of the Service.

We may, without liability or obligation, suspend or remove User Content from a public-facing area of the Platform or the Member Account if Wowledge determines that the User has engaged in abusive behavior, violated these Terms, or otherwise poses a risk to Wowledge, the Platform, or other Members. This does not apply to Content in private workspaces, which remains unmonitored by Wowledge and is not subject to moderation unless voluntarily shared or made public by the Member.


2. Right to use the service


You may use the Service only if you can form a binding contract with Wowledge, and only in compliance with these Terms of Service, the Privacy Policy, and all applicable local, state, national, and international laws and regulations. You must be at least 18 years of age to access the Service. Also, the Service may not be available to any Users previously removed from the Service by Wowledge.

Your right to use the Service does not include modifying or otherwise making any derivative uses of the Site, reverse engineering, or accessing the Site in order to build a competitive product or service, or using the Service other than for its intended purposes. You agree to not compete in any manner, directly or indirectly, with any product utilizing or derived from Wowledge’s intellectual property or System, anywhere in the United States or any other country or geographic area in which such product(s) are being marketed or sold as long as Wowledge is a going concern. If you engage in any of this, we reserve the right to terminate your use of the Service, and you may be infringing on Wowledge's copyright and other rights, which could subject you to prosecution and damages.

Except as otherwise permitted under an active paid Membership, you may not copy, distribute, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Platform.

Certain Membership types may allow active Users to adapt and incorporate Platform content for internal purposes or use in client-facing deliverables. Such usage must remain part of broader employer application or consulting service delivery and may not include the marketing, resale, redistribution, or repackaging of Content as a standalone digital offering.

You are strictly prohibited from using any Content provided via the Service for marketing, advertising, or solicitations of any type.

You may use the Content to perform work for your employers or clients, provided such work does not utilize or derive competitive technologies, business models, structure, or systems based on Wowledge’s proprietary intellectual property.

Subject to the terms and conditions of these Terms of Service, you are hereby granted a non-exclusive, limited, non-transferable, personal, and freely revocable license to use the Service as permitted by the functionality of the Service. Wowledge may terminate this license at any time for any reason or no reason. Please carefully read the full terms and conditions here. Wowledge reserves all rights not expressly granted herein in the Service.


Prohibition of automated data collection

The content, data, and services provided through the Service are intended solely for direct human user interaction. The use of any automated systems, including but not limited to robots, crawlers, data mining tools, AI agents, or similar technology-driven entities, to access, scrape, download, or otherwise extract data or Content from the Service, weather from publicly available pages or Content only available to Registered Users, is strictly prohibited, unless explicitly authorized by Wowledge in writing.

Notwithstanding the above restrictions, Wowledge grants permission to public search engine operators to use automated systems (such as spiders or crawlers) for the purpose of indexing the information of Wowledge's publicly available pages to make it searchable. This includes the use of such systems for caching or archiving materials solely to enhance searchability and accessibility in their indices. Wowledge reserves the right to revoke these exceptions either generally or in specific cases at its sole discretion.


No generative AI training use or content feed

For the avoidance of doubt, you are strictly prohibited from using any Content provided via the Service for purposes of feeding, obtaining responses from, or otherwise training artificial intelligence technologies to generate text, images, or any other kind of information, including without limitation, technologies that are capable of generating content in the same style or genre as the Content available via the Service, unless you obtain Wowledge’s specific and express permission to do so.


3. Licensing of content


Wowledge allows you to submit or upload Content, including but not limited to text, images, documents, templates, and website links (“User Content”). This User Content may be submitted in public-facing areas such as Article Documents on the Wowledge live Platform or within private workspaces accessible only through designated membership functionality.

If your Membership includes access to a private workspace, all User Content submitted to that workspace will remain visible only to you and any individuals you expressly authorize through account-level seat access. You retain all ownership rights to your User Content submitted in these private areas. In the event of cancellation, your User Content will remain securely stored until the end of your billing term and may be exported as a text file for your continued personal use at any time during that period.

By contrast, any User Content submitted to public-facing areas of the Platform (such as Article Documents) is not private and may be visible to other Members or users of the Service. All Members contributing such Content agree to the following licensing terms:

Text or images to which you hold the copyright: When you submit content to which you hold the copyright to any shared or public area of the Platform, you grant Wowledge an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, sublicense, distribute, modify, and create derivative works of that content for use within the Service or for Wowledge’s external marketing or commercial purposes. You warrant that you have the full rights necessary to grant this license, that the content does not infringe third-party rights, and that no other grant of rights is inconsistent with this license.

Attribution: Contributed text may be attributed in one or more of the following ways: via a URL to an article you authored (if included in the “Referenced articles and tools” section), via the Article History page, or via the “Top creator” display on the main page of the Article Document. You may choose whether attribution reflects your real name, a user ID, or no image, which you can manage as part of your “Account Profile” in Account Settings. Displaying your profile name and no image is the default setting when first creating a Member Account.

No revocation of license: Except as consistent with your license, you agree not to unilaterally revoke or seek invalidation of any license you grant to Wowledge for content submitted to shared or public areas, even if you later terminate your account.

Content requirements: Text you submit should be original or compatible with these Terms of Service. If submitting content authored by others, you warrant that it is either in the public domain or subject to a license that permits your use and redistribution. You agree to credit external authors appropriately and provide a reference link when applicable.

Images: Images submitted must not infringe third-party copyright. You agree to follow the license requirements of any uploaded image and apply those same requirements to modified versions.

Public domain: You are permitted to submit public domain content, but must confirm its public domain status under U.S. law and other applicable jurisdictions. You agree to label such contributions appropriately.

Prohibited content: You may not submit or link to content that: (i) Is illegal or unlawful; (ii) Harasses, defrauds, deceives, or promotes hate or violence; (iii) Contains personal, confidential, or private information; (iv) Offers drugs, alcohol, tobacco, firearms, or hazardous materials; (v) Promotes self-harm or public endangerment; (vi) Is sexually explicit or promotes sexual services; (vii) Infringes on any intellectual property or privacy rights; (viii) Contains viruses or harmful code.

Wowledge reserves the right to remove any Content submitted to public-facing areas of the Platform at its sole discretion and is under no obligation to notify you upon removal.

User Content stored in your private workspace remains exclusively under your control and will never be accessed, modified, or removed by Wowledge unless required by law or explicitly authorized by you.


Advanced membership features

Certain membership types include enhanced functionality, such as private workspaces, team collaboration, and the ability to upload or customize Content. These features are subject to the same terms, including intellectual property protections, as outlined in this agreement.

User Content created or uploaded in private workspaces remains the property of the original user or entity. Wowledge does not claim ownership or access rights to this Content, except as required to provide the service or comply with applicable law.

The use of Wowledge Content under these memberships is subject to the Platform’s reuse policy: members may adapt and incorporate Platform Content into internal or client-facing deliverables, provided that it is not marketed, resold, or redistributed, or repackaged as a standalone digital offering.


Feedback for us

We are interested in any Feedback you might provide us to help us improve Wowledge. If you choose to submit comments, ideas, or feedback, you agree that we are free to use them without any restriction or compensation to you. By accepting your submission, Wowledge does not waive any rights to use similar or related Feedback previously known to Wowledge, or developed by its employees, or obtained from sources other than you.


4. Your conduct


You agree that you will not do any of the following in connection with the Service or other Members: (i) Create an account or submit any Content if you are a minor under the age of 18; (ii) Use the Service in any manner that could interfere with, disrupt, negatively affect or inhibit other Members from feeling safe and comfortable using the Service or that could damage, disable, overburden or impair the functioning of the Service; (iii) Use Wowledge’s name, logo or branding in a way that confuses people about your affiliation with Wowledge; (iv) Break, circumvent or attempt to circumvent our security measures or other features designed to protect the Service and Members of the Service, or otherwise test the vulnerability of our systems or networks; (v) Use any undocumented or unsupported method to access, search, scrape, download or change the Service or anything on the Wowledge Site; (vi) Submit large amounts of unwanted or repetitive Content, post unsolicited commercial messages. You also can't use cloaking, off-domain redirects, or any other technical measures to do any of these, or to intentionally make Content less prominent by deceptively reporting it even while this Content might not violate any of our Terms or Privacy Policy; (vii) Use meta tags, hidden text or metadata with our logo, URL or product name without our written consent; (viii) Try to reverse engineer any of Wowledge’s software; (ix) Try to interfere with any Wowledge user, host or network, for example by sending a virus, overloading, spamming or mail-bombing; (x) Impersonate or misrepresent your affiliation with any person or entity, including Wowledge; and (xi) Do anything that violates applicable law or regulations.


5. Security


The security and confidentiality of Wowledge Members and User Content are our utmost priority. We implement commercially reasonable administrative, technical, and physical safeguards to protect Member Account information and any Content uploaded to the Platform, including Content stored in private workspaces under certain membership types. While we strive to protect your data, no system is entirely immune to unauthorized access. We cannot guarantee that third parties will never be able to defeat our security measures or misuse your personal or uploaded information. You are responsible for maintaining the confidentiality of your account credentials and any access you grant to authorized users under your account. Please notify us immediately of any suspected or actual breach of your account so we can take appropriate action.


Third-party links, sites, and services
Wowledge’s platform may contain links to third-party websites, products, services, providers, advertisers, special offers, or other events or activities that have been submitted by Members or the Wowledge team, which are not owned or controlled by Wowledge. Our Members or team might even include visual cues in the form of assessments of attributes for these third-party websites, products, services, or providers based on personal views, analysis, research, or reviews with members of these entities. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access any third-party website, service, or content from our platform, you do so at your own risk, and you agree that Wowledge will have no liability arising from your use of or access to any third-party website, service, or content.


6. Copyright policy


Wowledge respects the intellectual property rights of others and expects Members to do the same. In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws, Wowledge will, in appropriate circumstances and at its discretion, suspend or terminate the accounts of Members who repeatedly infringe or are repeatedly accused of infringing the intellectual property rights of others.

We respond promptly to notices of alleged infringement that comply with the DMCA and applicable standards. If you believe that your copyrighted work has been copied or used in a way that constitutes infringement, please submit a notice to our designated Copyright Agent at [email protected].


Copyright infringement notice

Your notice must include the following: (a) A physical or electronic signature of the copyright owner or authorized agent; (b) Identification of the copyrighted work claimed to have been infringed; (c) Description of the infringing content and a URL or location identifier; (d) Contact information (name, address, phone number, and email); and (e) A statement under penalty of perjury that: You have a good faith belief the use is unauthorized by the copyright owner, its agent, or the law. The information in your notice is accurate, and you are authorized to act on behalf of the copyright holder.

Failure to include all required information may render your notice invalid.

Upon valid notification, Wowledge may, in its sole discretion, remove or disable access to the material and take any further action deemed appropriate. We may notify the Member who posted the content, but are not obligated to do so.

Note: This policy applies only to public-facing Content submitted through the Service. User Content uploaded to private workspaces is not publicly visible and will not be reviewed unless subject to a legal request or court order.


Copyright infringement counter-notice

If you believe your content was removed or disabled in error, you may submit a counter-notice including: (a) A physical or electronic signature; (b) Identification of the removed content and its prior location; (c) A statement under penalty of perjury that you believe the content was removed due to mistake or misidentification; (d) Your full name, address, phone number, and email; and (e) A statement that you consent to jurisdiction in your local U.S. Federal District Court, or if outside the U.S., any jurisdiction where Wowledge may be found, and that you will accept service of process from the original complainant.

Misuse of this process may result in legal and financial liability. Please ensure your claim is accurate and made in good faith.


7. Suspension and termination


Wowledge reserves the right to suspend or terminate your access to the Service, in whole or in part, at its sole discretion, with or without notice, and for any reason or no reason. Such actions may include revoking access to your Member Account, Content, or features associated with your membership. Upon suspension or termination, you must immediately cease all use of the Service and may not access or attempt to access it again without express written permission from Wowledge.

If you are an active paid member with access to a private workspace, your User Content will remain securely stored through the end of your current billing term unless otherwise prohibited by law or these Terms.

Even after your access is suspended or terminated, you remain bound by applicable provisions of these Terms and the Privacy Policy.


8. Disclaimers, limitation of liability and indemnification


THE SERVICE IS OPTIONAL AND THERE IS NO REQUIREMENT FOR ITS USE. IF YOU DO SUBSCRIBE, ACCESS, OR USE THE SERVICE, BE AWARE THAT THE SERVICE AND ANY CONTENT MADE AVAILABLE TO YOU THROUGH THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. WOWLEDGE DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS (EXPRESS OR IMPLIED, ORAL OR WRITTEN) WITH RESPECT TO THE SERVICE AND CONTENT, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WHETHER ARISING BY LAW OR OTHERWISE.

NO USER SHOULD ACT, REFRAIN FROM ACTING, OR MAKE DECISIONS BASED SOLELY ON CONTENT MADE AVAILABLE THROUGH THE SERVICE. WOWLEDGE AND ITS LICENSORS ARE NOT RESPONSIBLE FOR THE ACCURACY, COMPLETENESS, OR USEFULNESS OF CONTENT AND DISCLAIM ANY LIABILITY FOR ACTIONS TAKEN OR NOT TAKEN BASED ON SUCH CONTENT. WOWLEDGE DOES NOT ENDORSE, VERIFY, OR GUARANTEE THE QUALITY, LEGALITY, OR RELIABILITY OF ANY PROVIDER OR SERVICE OFFERED THROUGH THE PLATFORM. WOWLEDGE IS NOT LIABLE FOR ANY INTERACTIONS BETWEEN USERS AND THIRD-PARTY PROVIDERS OR CONSULTANTS, INCLUDING CONTRACTUAL ENGAGEMENTS, BUSINESS OUTCOMES, OR SERVICE DELIVERABLES.

WOWLEDGE MAKES NO WARRANTY THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, BE UNINTERRUPTED OR SECURE, OR BE FREE FROM ERRORS, DEFECTS, OR HARMFUL COMPONENTS. YOU ACCESS AND USE THE SERVICE AT YOUR OWN RISK. WOWLEDGE IS NOT RESPONSIBLE FOR ANY DAMAGE OR LOSS RESULTING FROM THE USE OF OR RELIANCE ON ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SERVICE.

Wowledge is not responsible for, and assumes no liability for, any Content submitted by users, whether public-facing or stored in private workspaces. You acknowledge that you may be exposed to Content that is inaccurate, offensive, or otherwise objectionable and that you use or rely on such Content at your own risk.


Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WOWLEDGE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICE OR CONTENT, EVEN IF WOWLEDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WOWLEDGE SHALL NOT BE LIABLE FOR ANY (I) ERRORS OR OMISSIONS IN CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM ACCESS OR USE OF THE SERVICE; (III) UNAUTHORIZED ACCESS TO OR USE OF SERVERS OR PERSONAL INFORMATION; (IV) SERVICE INTERRUPTIONS OR TRANSMISSION FAILURES; (V) BUGS, VIRUSES, OR MALICIOUS CODE TRANSMITTED THROUGH THE SERVICE; OR (VI) USER CONTENT OR THE CONDUCT OF ANY THIRD PARTY USING THE SERVICE.

IN NO EVENT SHALL WOWLEDGE’S AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO WOWLEDGE FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.


Indemnification

You agree to indemnify, defend, and hold harmless Wowledge and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use or misuse of the Service; your violation of these Terms of Service or our Privacy Policy; your violation of any applicable law or regulation; any Content you upload, submit, or transmit through the Service (including public-facing and private areas); and any use of your account, whether by you or an authorized or unauthorized third party.


9. Governing law and arbitration


PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY. THEY REQUIRE YOU TO RESOLVE DISPUTES WITH WOWLEDGE THROUGH MEDIATION AND BINDING ARBITRATION AND LIMIT HOW YOU CAN SEEK RELIEF.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Service, you and Wowledge agree to first attempt to resolve the matter through good-faith negotiation. If a resolution is not reached within sixty (60) days, either party may demand mediation pursuant to the rules of the American Arbitration Association, to be conducted in Houston, Texas.

YOU AND WOWLEDGE AGREE THAT ARBITRATION IS REQUIRED BEFORE PURSUING ANY OTHER FORM OF RELIEF, UNLESS EITHER PARTY IS SEEKING EQUITABLE OR INJUNCTIVE RELIEF TO ADDRESS UNAUTHORIZED USE OR MISUSE OF INTELLECTUAL PROPERTY (INCLUDING COPYRIGHTS, TRADEMARKS, TRADE NAMES, LOGOS, TRADE SECRETS, OR PATENTS).

If mediation does not resolve the dispute within sixty (60) days of service of the mediation demand, the dispute will be resolved by binding arbitration administered by the American Arbitration Association in accordance with its applicable rules and procedures. Arbitration will be conducted before a single arbitrator in Houston, Texas, and all proceedings will be in English. The arbitrator’s written decision will include findings of fact and conclusions of law and will be final and binding upon both parties. JUDGMENT ON THE ARBITRATOR’S AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. The costs of arbitration shall be shared equally unless otherwise determined by the arbitrator. The prevailing party may be awarded reasonable attorneys’ fees and costs. It is the intent of the parties that arbitration proceedings be completed within ninety (90) days of the arbitrator’s appointment. Extensions may be granted only to avoid undue prejudice to either party. Delays alone shall not be a valid basis for challenging an award. Consistent with the expedited nature of arbitration, discovery will be limited to the reasonable and prompt exchange of relevant, non-privileged documents.

YOU AND WOWLEDGE AGREE THAT NEITHER PARTY MAY COMMENCE OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING AGAINST THE OTHER.


10. General terms


Modifications to the service

Wowledge reserves the right, in its sole discretion, to review, improve, modify, or discontinue the Service—or any portion, feature, content, or functionality thereof—at any time, with or without notice. You agree that Wowledge shall not be liable to you or to any third party for any such modification, suspension, or discontinuation.


Consent to electronic communications

By using the Service, you consent to receiving communications from Wowledge electronically, including administrative notices, security alerts, and other updates related to your account or use of the Service. You agree that all electronic communications from us satisfy any legal requirements that such communications be in writing. If you wish to withdraw your consent to receive electronic communications, please contact us. However, withdrawal may limit your ability to use certain features of the Service.


Legal compliance

You represent and warrant that: You are not located in, or a resident of, any country that is subject to a U.S. government embargo or designated by the U.S. government as a “terrorist-supporting” country. You are not listed on any U.S. government list of prohibited or restricted parties, including the Specially Designated Nationals list. You agree to comply with all applicable laws and regulations in connection with your use of the Service.


Assignment

These Terms, and any rights or licenses granted under them, may not be transferred or assigned by you without prior written consent from Wowledge, but may be freely assigned by Wowledge without restriction. Any attempted transfer or assignment by you in violation of this section shall be null and void.


Entire agreement and severability

These Terms, along with our Privacy Policy and any additional agreements or terms incorporated by reference, constitute the entire agreement between you and Wowledge concerning your access to and use of the Service. If any provision of these Terms is held to be unlawful, void, or unenforceable for any reason, that provision will be limited or eliminated to the minimum extent necessary and shall not affect the validity or enforceability of any remaining provisions.


No waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or of any other term or condition. Any failure by Wowledge to assert a right or enforce a provision under these Terms shall not constitute a waiver of such right or provision.
